Course Overview

This intensive course will cover all aspects of a loan transaction, concentrating particularly on the agreement itself and on the legal implications of a properly drafted and incorrectly drafted document.

Participants will be taken step-by-step through the process of documenting a loan, from the early stages of pre-contractual issues, letters of commitment and written offers, through to administrative provisions, representations, covenants, defaults, transfer provisions, guarantees and the eventuality of insolvency.

By attending this course, participants will fully understand the legal implications of a properly drafted and incorrectly drafted document.

  • Industry Expert | Theodoros Zafiropoulos

    Theodoros Zafiropoulos is a partner in the Banking and Finance practice in a large global offshore law firm and co-heads its fiduciary team in Cyprus. He regularly acts for multilateral financial institutions, international and domestic banks, private equity funds and corporate borrowers in banking and corporate finance matters. Prior to relocating to Cyprus, Theodoros worked at a global law firm in London, Moscow, Amsterdam (on secondment to a major financial institution) and Athens. He is qualified to practice law in Greece (2003), England & Wales (2004) and Cyprus (2019). Theodoros has extensive experience working with financial institutions and borrowers on restructuring and work-out arrangements, group refinancing transactions and monitoring problem loans. Theodoros also specialises in project finance and energy, advising international oil and gas companies, governments, national oil companies and lenders on major energy transactions. Theodoros also advises on intellectual property law in Cyprus.

    Theodoros is a member of the International Bar Association, the Association of International Petroleum Negotiators and the Hellenic Russian Chamber of Commerce, where he previously served on the board of directors before relocating to Cyprus.


    Training Style

    The training style will include the presentation of all the material using slides and handouts. The trainer will use practical examples from recent transactional experience to elaborate various concepts. Participants will engage in exchange of ideas and sharing of knowledge on the subject matter. Participants will also be able to ask questions and obtain clarifications from the trainer on all the material covered.


    CPD Recognition

    This programme may be approved for up to 14 CPD units in Law. Eligibility criteria and CPD Units are verified directly by your association, regulator or other bodies which you hold membership.

    The Cyprus Bar Association (CyBAR) has confirmed that this programme is accredited for 14 CPD units.
